These Terms of Service (“Terms”) form a binding agreement between you and SpidNums Technologies Inc. (“SpidNums”, “we”, “us” or “our”) and govern your access to and use of our taxation, accounting, bookkeeping, payroll and compliance platform, websites and related services (collectively, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be able to form a legally binding contract and use the Service on behalf of a business you are authorized to represent.
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes, subject to these Terms.
You agree not to misuse the Service, including by attempting to access it through unauthorized means, interfering with its operation, reverse engineering it, or using it to violate any law or the rights of others.
You retain ownership of the financial and business data you submit to the Service (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and improve the Service.
SpidNums provides tools to assist with bookkeeping, tax preparation, payroll and compliance, but you remain responsible for reviewing outputs, meeting filing deadlines, and ensuring the accuracy and completeness of your records and submissions to the Canada Revenue Agency and other authorities.
The Service and its automated insights are provided for informational purposes and do not constitute legal, accounting or tax advice. You should consult a qualified professional for advice specific to your circumstances before making decisions.
Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law or expressly stated.
We may change our fees on reasonable notice. Continued use of the Service after a change takes effect constitutes acceptance of the updated fees. You may cancel at any time, effective at the end of your current billing period.
The Service may integrate with third-party services such as banks, payment processors and cloud providers. Your use of those services is governed by their own terms, and we are not responsible for them.
The Service, including its software, design, branding and content (excluding Customer Data), is owned by SpidNums and protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as described.
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that results will meet your requirements.
To the fullest extent permitted by law, SpidNums will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we will make Customer Data available for export for a reasonable period in accordance with our Privacy Policy.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date below and, where appropriate, notify you within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
